1. Services
MIRJ Creative ("Consultant") agrees to provide the audit service selected above ("Services") to the undersigned client ("Client"). Scope, deliverables, and timing are as described in MIRJ Creative's published service descriptions and any intake materials the Client provides.
2. Deposit & Fees
Client agrees to pay a $375 deposit to begin the Services. This deposit is credited in full toward the final project total, which is typically $750 to $1,500 depending on scope and is confirmed in writing after intake and discovery. The $375 deposit is non-refundable once the working session is scheduled, per Section 5 below.
3. Timeline
The engagement proceeds in five stages: agreement and deposit, intake and discovery, working session(s), delivery of the written deliverable (within 5 business days of the working session), and a delivery call. A 30-day follow-up window for questions is included at no additional charge.
4. Revisions
This engagement includes up to 2 rounds of revision on the delivered findings. Additional revisions beyond the included rounds will be billed at $250/hour or a flat fee agreed upon in writing.
5. Cancellation & Refunds
Client may cancel with 7 days' written notice prior to the scheduled working session for a full refund of the deposit. Once the working session is scheduled and confirmed, the deposit becomes non-refundable. Work completed prior to cancellation will be billed at the agreed rate on a prorated basis.
6. Intellectual Property
Upon receipt of full payment, Client owns the final deliverables. MIRJ Creative retains ownership of all frameworks, tools, methodologies, and processes used to deliver the Services, and retains the right to reference the engagement in its portfolio in general terms unless Client requests otherwise in writing.
7. Confidentiality
Both parties agree to keep proprietary information, strategies, and communications shared during this engagement confidential, both during and after its term, except where disclosure is required by law or the information is already public.
8. Independent Contractor
MIRJ Creative is an independent contractor, not an employee, partner, or agent of Client, and is solely responsible for its own taxes, insurance, and expenses.
9. Limitation of Liability
MIRJ Creative's total liability under this Agreement shall not exceed the fees paid. Neither party is liable for indirect, incidental, or consequential damages.
10. Governing Law
This Agreement is governed by the laws of the Commonwealth of Virginia. Disputes will first be addressed through good-faith negotiation, then mediation in Virginia if unresolved, before any litigation.
11. Signature
By typing your full legal name below and checking the box, you agree this constitutes your electronic signature and acceptance of this Agreement, with the same legal effect as a handwritten signature.
